Welcome to Zonda ("we," "our," or "us"). These Terms & Conditions ("Terms") govern your access to and use of our AI customer service agent products and services (the “Service”), available on a subscription basis. By subscribing to or using our services, you agree to be bound by these Terms.

1. Services Provided

Zonda offers AI-powered customer service chatbots/agents that can be embedded on your website, Instagram, Messenger, or WhatsApp. The Service includes chatbot/agent setup, customization (where applicable), hosting, analytics reporting, chatbot/agent updating and retraining, and ongoing support for the duration of your active subscription.

2. Eligibility

To use Zonda's services, you must:

• Be at least 18 years old

• Represent a legitimate business or organization

• Have the authority to enter into binding contracts on behalf of your business

3. Subscription & Payment

• Zonda services are provided on a subscription basis.

• You agree to pay all fees as outlined during sign-up or onboarding.

• Payment is collected via our approved third-party payment provider.

• Subscription renews automatically unless canceled.

• Failure to make timely payments may result in suspension or termination of your access.

4. Client Responsibilities

You agree to:

• Provide accurate and complete information during onboarding

• Ensure that you have the necessary rights to embed the chatbot on your website, Instagram, Messenger, or WhatsApp

• Use the chatbot only for lawful and business-related purposes

• Not misuse, modify, or attempt to reverse-engineer the chatbot or platform

You are solely responsible for the content you provide to the chatbot/agent, and for how your customers interact with it on your website.

5. Data & Privacy

Zonda will only collect and process data that is explicitly provided by you or as necessary to operate the chatbot service.

• You retain ownership of your business data.

• By using our services, you grant Zonda the right to store, analyze, and improve the chatbot/agent based on anonymized interaction data.

6. Intellectual Property

All intellectual property rights related to Zonda’s platform, chatbots/agents, branding, and supporting materials are owned by Zonda.
You are granted a non-exclusive, non-transferable, revocable license to use the chatbot/agent for your business website, Instagram, Messenger, or WhatsApp under these Terms.

7. Termination

You may cancel your subscription at any time. Upon cancellation:

• Access to the chatbot and related services will be removed at the end of your billing cycle

• Your data may be retained for up to 30 days for backup and support purposes unless requested otherwise

We may terminate or suspend your access without notice if you breach these Terms or misuse the Service.

8. Disclaimer of Warranties

Zonda provides its services “as is” and “as available.” We do not guarantee that:

• The chatbot will be error-free, uninterrupted, or perfectly accurate

• The AI will handle every interaction flawlessly

• The services will meet every specific business requirement

To the maximum extent permitted by law, Zonda disclaims all implied warranties and conditions.

9. Limitation of Liability

Zonda shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or revenue.
Our total liability for any claim related to the service shall not exceed the amount paid by you in the previous 3 months of subscription.

10. Changes to Terms

We may update these Terms from time to time. Clients will be notified of any major changes via email. Continued use of the Service constitutes acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law principles.
